1. Acceptance of Terms

By accessing or using WinFactor ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

WinFactor is a visual configuration platform that enables facade suppliers to create product templates and receive customer specifications. The Service includes template design tools, customer configuration interfaces, and analytics.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• One account per organization unless otherwise agreed.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with the proper functioning of the Service
• Upload malicious code or content
• Violate the intellectual property rights of others
• Resell or redistribute the Service without authorization

5. Subscription and Payment

5.1 Plans and Pricing

We offer Free, Pro, and Enterprise plans. Current pricing is available on our Pricing page. We reserve the right to change pricing with 30 days notice.

5.2 Billing

• Pro plans are billed monthly or annually in advance.
• Payments are processed through our payment provider.
• All fees are non-refundable except as required by law.

5.3 Cancellation

You may cancel your subscription at any time. Access continues until the end of your billing period.

6. Intellectual Property

6.1 Our Property

WinFactor and its original content, features, and functionality are owned by WinFactor B.V. and are protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of templates and content you create. By using the Service, you grant us a license to host, display, and process your content as necessary to provide the Service.

7. Customer Data

You are responsible for the content submitted by your customers through templates you create. You must ensure you have appropriate consent to collect and process customer data.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may suspend the Service for maintenance with reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, WinFactor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold WinFactor harmless from any claims arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account immediately for violations of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data before termination.

13. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam, Netherlands.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes. Continued use after changes constitutes acceptance.
